
US$8,069,000Senior Medium-Term Notes, Series KAutocallable Barrier Notes with Contingent Coupons due December 24, 2026Linked to the common stock of Papa John's International, Inc. ·The notes are designed for investors who are seeking monthly contingent periodic interest payments (as described in more detail below), as well as a return ofprincipal if the closing level of the common stock of Papa John's International, Inc. (the “Reference Asset”) on any monthly Observation Date beginning in May2026 is greater than 100% of its Initial Level (the “Call Level”). Investors should be willing to have their notes automatically redeemed prior to maturity, bewilling to forego any potential to participate in the appreciation of the Reference Asset and be willing to lose some or all of their principal at maturity.·The notes will pay a Contingent Coupon on each Contingent Coupon Payment Date at the Contingent Interest Rate of 0.945% per month (approximately 11.34% per annum) if the closing level of the Reference Asset on the applicable monthly Observation Date is greater than or equal to its Coupon Barrier Level.
