Organization and Business Cocrystal Pharma, Inc. (“we”, the “Company” or “Cocrystal”), a clinical stage biopharmaceutical company incorporated in Delaware, has beendeveloping novel technologies and approaches to antiviral drug candidates. Our focus is to pursue the development and commercialization of broad-spectrum antiviral drug candidates that will transform the treatment and prophylaxis of viral diseases in humans. By concentrating our research anddevelopment efforts on viral replication inhibitors, we plan to leverage our infrastructure and expertise in these areas. The Company’s activities since inception have principally consisted of acquiring product and technology rights, raising capital, and performingresearch and development. Successful completion of the Company’s development programs, obtaining regulatory approvals of its products and,ultimately, the attainment of profitable operations is dependent on future events, including, among other things, its ability to access potential markets,secure financing, develop a customer base, attract, retain and motivate qualified personnel, and develop strategic alliances. Liquidity and going concern The Company’s consolidated financial statements are prepared using generally accepted accounting principles in the United States of Americaapplicable to a going concern, which contemplates the realization of assets and the satisfaction of liabilities in the normal course of business. TheCompany has incurred net losses and negative operating cash flows since inception.
