That is, in determining the appropriatetier, aprofessional subscriber may not include within its tier display devicesused by(a) personsto whom it distributes data that are not employees of the professional subscriber (e.g.,independent contractors) or (b) employees of firms to which itdistributes data(collectively, “External Distribution”). Rather, if the professional subscriber redistributesdata to other professional subscriber, each such otherprofessional subscriber shalldetermine the tier applicable to it. For example, if Firm ABC provides data to its own employees and also to theemployeesof three other firms, Firm ABC shall pay according to the pricing tier thatreflects thenumber of display devicesthat its own employees use. (Thatis, FirmABC’s tier isdetermined solely according to its Internal Distribution.) RegardingFirm ABC’s ExternalDistribution, each of the three firms to which it redistributes datashall pay according tothe pricing tier that reflects the number of displaydevicesthatits employees use. Independent contractors associated with a firm are not considered to be employeesof thatfirm. This means that the firm may not include independent contractors in thecount ofthat firm’s display devices for purposes of determining the applicable pricingtier. Rather,each independent contractor must determine the tier applicable to it, atier that would beseparate and apart from the tier applicable to the firm with which itis associated. 3Charges apply tovendor providing service tononprofessionalsubscribers. 4Per-quote-packet charge is an alternative to monthly display charges and appliesequallytoprofessional andnonprofessionalsubscribers. A quote packet includesany dataelement or all data elements in respectof a single issue. Last, open, high,low, volume,net change, bid, offer, size, and best bid and offer with size areexamples of dataelements. “IBM” is an example of a single issue. An index valueis deemed to be asingle-issue data element. For each of Network A and Network B,Vendor may maximizeat $1.00 that network’s per-quote-packet charges payable forany month in respect of anycustomer that qualifies as a nonprofessional subscriber,regardless of how many quote-packets the customer may receive during that month. As the Participant’s form of “Agreement for Receipt and Use of Market Data”permits,the Participants require each data redistributor that wishes to redistributedata on a per- quote basis to periodically audit its quote-metering system. If aredistributor fails toprovide NYSE with its audit results on or prior to December 31 ofa year in which anaudit is required, a late fee of $3,000 applies for each month theaudit is past due. 5An entity that is registered as a broker/dealer under theSecurities Exchange Act of1934 is not required to pay more than the enterprise maximum for any month for theaggregate amount of (a) a network’s display devicecharges for devices used for itsInt
