ORGANIZATION AND SIGNIFICANT ACCOUNTING POLICIES Organization and Business Description Orchid Island Capital, Inc. (“Orchid” or the “Company”) was incorporated in Maryland on August 17, 2010 for the purpose ofcreating and managing a leveraged investment portfolio consisting of residential mortgage-backed securities (“RMBS”).Fromincorporation to the completion of Orchid’s initial public offering of its common stock on February 20, 2013, Orchid was a whollyowned subsidiary of Bimini Capital Management, Inc. (“Bimini”).Orchid began operations on November 24, 2010 (the date ofcommencement of operations).From incorporation through November 24, 2010, Orchid’s only activity was the issuance ofcommon stock to Bimini. On June 11, 2024, Orchid entered into an equity distribution agreement (the “June 2024Equity Distribution Agreement”) withthree sales agents pursuant to which the Company could offer and sell, from time to time, up to an aggregate amount of$250,000,000 of gross proceeds from the sales of shares of the Company’s common stock in transactions that were deemed to be“at the market” offerings and privately negotiated transactions. The Company issued a total of 30,513,253 sh
