Management's Discussion and Analysis of Financial Condition and Results of Operations Performance Summary BOK Financial reported net income of $176.5 million, or $2.92 per diluted share, for the second quarter of 2026 compared to $155.8million, or $2.58 per diluted share, for the first quarter of 2026. Excluding the net gain related to the exchange of our Visa shares andthe loss from repositioning of the available-for-sale securities portfolio , net income would have been $156.5 million, or $2.59 perdiluted share, in the second quarter of 2026. PPNR , a non-GAAP measure, was $227.7 million for the second quarter of 2026,compared to $199.7 million in the first quarter of 2026.11 Highlights of the second quarter of 2026 compared to the first quarter of 2026 included: •Net interest income totaled $351.8 million, an increase of $9.3 million over the prior quarter. Net interest margin was 2.91%for the second quarter of 2026, compared to 2.90% for the prior quarter. For the second quarter of 2026, our core net interestmargin excluding trading activities , a non-GAAP measure, was 3.13% compared to 3.15% in the prior quarter.•Fees and commissions revenue totaled $202.0 million, a decrease of $7.8 million. Lower trading fees and commissionsrevenue was partially offset by growth in fiduciary and asset management revenue and increased investment banking revenue.•Other gains (losses), net, were a net gain of $42.4 million compared to a net loss of $216 thousand in the prior quarter. Thesecond quarter of 2026 included a $30.9million pre-tax gain, net of economic hedge, related to the exchange of our Visashares under the recently announced Exchange Offer by Visa, Inc.
