Initially, it was confronted with new environmentalprotection mandates, necessitating the gradual shutdown anddismantling of the primary coke ovens in compliance with policyguidelines. Furthermore, the Company discovered off-book legacyloans that had been concealed by prior management and the Board.In the midst of addressing these issues, the Company alsocontended with the COVID-19 pandemic, which imposed significanthurdles due to the closures in China and Hong Kong, severelyimpacting investigations, negotiations, construction, and duediligence processes. 過 去 幾 年 對 於 公 司 而 言 極 其 不容 易。公 司先 是 收 到 環 保 政 策 更 新 要 求，並 根 據 相 關政 策 指 引 逐 步 關 停 拆 除 原 有 主營 焦 爐；又發現了前任管理層及董事會所隱瞞的賬外遺 留 貸 款。公 司 在 積 極 解 決 上述 問 題 的 過程 中 又 遭 遇 了 新 冠 疫 情，中 港兩 地 封 控 給公 司 的 調 查、談 判、建 設、盡 調 等 等 帶 來了巨大的阻礙。 公 司 歷 時 兩 年，最 終 克 服 重 重 困 難，妥 善處理了賬外貸款，處置出售了該附屬公司，完 成 了 由60萬 噸 年 產 量4.3米 的 落 後 焦 爐轉變為120萬噸年產量7.1米的高規格焦爐的 升 級 換 代，並 為 公 司 帶 來 了十 餘 億 人 民幣 的 資 產 增 加。目 前 公 司 的 焦爐 資 產 已 經就 緒，但 合 作 方 協 議 提 供 的 公輔 配 套 設 施由 於 一 些 客 觀 問 題，仍 未 完 工，公 司 雖 已不 斷 催 促，並 通 過 自 身 的 渠 道幫 助 合 作 方盡 快 完 成 建 設，但 截 至 本 報 告 日，公 輔 配套 設 施 仍 未 完 工，因 此 公 司 的焦 爐 資 產 也因 此 尚 未 正 式 投 產。截 至 本 報 告 之 日，合作 方 正 抓 緊 落 實 建 設 所 需，並正 緊 鑼 密 鼓追 趕 落 後 工 期。公 司 預 計 將 在下 個 財 政 年度內正式投產。 After two years, the Company successfully navigated numerouschallenges, efficiently resolved the off-books loans, disposed of thesubsidiary, and upgraded from a backward coke oven with anannual capacity of 600,000 tons and a height of 4.3 meters to a high-specification coke oven with annual capacity of 1.2 million tons and aheight of 7.1 meters. This upgrade contributed over one billionRenminbi to the Company’s assets. Although the coke oven assetshave been completed, the public auxiliary facilities promised bypartners are still unfinished due to certain objective issues. Despitethe Company’s efforts to expedite construction through its ownchannels, these facilities remain incomplete as of the date of thisreport, resulting in a delay in the formal operation of the coke ovenassets. As of the date of this report, the cooperative parties areactively working to meet construction requirements and address thedelays.
