Common Stock We have entered into an At the Market Offering Agreement (the “Sales Agreement”), with H.C. Wainwright & Co., LLC(“Wainwright” or the “sales agent”) relating to the sale of shares of our common stock, par value $0.001 per share (the “commonstock”), offered by this prospectus supplement and the accompanying prospectus. In accordance with the terms of such SalesAgreement, we may offer and sell shares of our common stock having an aggregate offering price of up to $250,000,000 from time totime through or to Wainwright acting as our agent or principal. Wainwright will be entitled to compensation at a commission rate of 3.0% of the gross sales price per share sold under the SalesAgreement. In connection with the sale of the shares of common stock on our behalf, Wainwright will be deemed to be an“underwriter” within the meaning of the Securities Act, and the compensation of Wainwright will be deemed to be underwritingcommissions or discounts. We have also agreed to provide indemnification and contribution to Wainwright with respect to certainliabilities, including liabilities under the Securities Act.
