$400,000,000 5.650% Notes due 2030 Goldman Sachs BDC, Inc. (“GS BDC”) is offering $400.0million in aggregate principal amount of its 5.650% Notes due 2030 (the “Notes”). The Notes will mature on September9,2030. GS BDC will pay interest on the Notes on March9 and September9 of each year, beginning March9, 2026. GS BDC may redeem the Notes in whole or in part at any time or from time to time at the redemption price discussed under the caption “Description of the Notes—OptionalRedemption” in this prospectus supplement. In addition, holders of the Notes can require GS BDC to repurchase the Notes at 100% of their principal amount upon the occurrence of a Changeof Control Repurchase Event (as defined herein). The Notes will be issued in minimum denominations of $2,000 and integral multiples of $1,000 in excess thereof. The Notes will be GS BDC’s direct unsecured obligations and rank pari passu, or equal, in right of payment with all outstanding and future unsecured unsubordinated indebtednessissued by GS BDC. As of June30, 2025, GS BDC’s total indebtedness was approximately $1,803.1million aggregate principal amount outstanding, of which approximately $903.1millionwas secured by a first priority security interest in substantially all of GS BDC’s portfolio of investments and cash, with certain exceptions, and therefore, effectively and/or structurally seniorto the Notes. As of June30, 2025, after giving effect to the issuance of the Notes and the use of proceeds therefrom, GS BDC’s total indebtedness would have been approximately$1,808.2million aggregate principal amount outstanding. As of June30, 2025, after giving effect to the issuance of the Notes and the use of proceeds therefrom, GS BDC’s asset coverageratio based on the aggregate amount outstanding of its senior securities would have been 184%. The Notes are a new issue of debt securities and there currently is no trading market for theNotes. GS BDC is an externally managed specialty finance company that is anon-diversified,closed-end,management investment company that has elected to be regulated as a businessdevelopment company (“BDC”) under the Investment Company Act of 1940, as amended (the “Investment Company Act”).
