(the “Company”) is a Florida corporation incorporated in 1985, which has operated since January1987. TheCompany is a bank holding company registered under the Bank Holding Company Act of 1956 (“BHC Act”), as a result of its100%ownership of Amerant Bank, N.A. (the “Bank”). The Company’s principal office is in the City of Coral Gables, Florida. The Bank is amember of the Federal Deposit Insurance Corporation (“FDIC”), the Federal Reserve Bank of Atlanta (“Federal Reserve”) and the FederalHome Loan Bank of Atlanta (“FHLB”). The Bank is a national bank subject to regulation and regular examinations by the Office of theComptroller of the Currency (“OCC”).
