In May 2023, the Companyentered into a share purchase agreement with Shelby CompaniesLimited(“Shelby”),pursuant to which the Company disposedofapproximately 24.34%of Birmingham City Limited(“BCL”)toShelby. The disposal was completed on 13 July 2023, upon whichthe Group remains an interest of approximately 51.72% in the ClubandShelby’s interest therein is approximately 45.98%.Shelby ismanagedand advised by Knighthead Capital Management,LLC(“Knighthead”).Knighthead has a passion for sports and is well-experienced in improving corporate performance. The introductionof Shelby as our key partner to the Club not only brings in theirmanagement expertise and skills, but also the required resourcesand the determination needed to deliver changes for the good ofthe Club. The collaboration also enables the Company to reserveitsfinancial resources for other business opportunities withgood potential. Following a finish at the 22nd position in the EFLChampionship in the season 2023/24, the Club was relegated totheEFL League One in the new season.Despite the relegation,theCompany will continue to cooperate with Shelby to givesupport to the Club with an aim to secure a promotion back to EFLChampionship. As at the date of this report, the Club stood at the2nd position in the EFL League One division.
