2023 中 國 唐 商 控 股 有 限 公 司CHINA TANGSHANG HOLDINGS LIMITED The board (the “Board”) of directors (the “Directors”)of China Tangshang Holdings Limited (the “Company”)is pleased to announce the unaudited interim condensedconsolidated results of the Company and its subsidiaries(collectivelyreferred to as the“Group”)for the sixmonthsended 30 September 2023.The consolidatedstatementof comprehensive income,the consolidatedstatementof changes in equity and the consolidatedstatementof cash flows of the Group for the sixmonths ended 30 September 2023 and the consolidatedstatementof financial position of the Group as at30September 2023,all of which are unaudited andcondensed,along with selected explanatory notes,areset out on pages 18 to 48 of this report. 中國唐商控股有限公司（「本公司」）董事（「董事」）會（「董 事 會」）欣 然 公 佈 本 公 司 及 其 附屬 公 司（統 稱「本 集 團」）截 至 二 零 二 三 年 九月 三 十 日 止 六 個 月 之 未 經 審 核 中 期 簡 明 綜合業績。本集團截至二零二三年九月三十日止六個月之未經審核簡明綜合全面收益表、綜合權益變動表及綜合現金流量表以及本集團於二零二三年九月三十日之綜合財務狀況表，連同選定之說明附註載於本報告第18至48頁。 管理層討論及分析 MANAGEMENT DISCUSSION ANDANALYSIS 綜合業績 CONSOLIDATED RESULTS 截 至 二 零 二 三 年 九 月 三 十 日 止 六 個 月，本集 團 錄 得 收 益 約784,200,000港 元，較 二 零二 二 年 同 期 收 益 約519,600,000港 元 增 加 約50.9%，同時錄得溢利約100,300,000港元，而二零二二年同期則為溢利約80,400,000港元。溢 利 增 加 主 要 由 於1)實 施 多 項 成 本 控 制措 施 及 開 支 減 少；及2)截 至 二 零 二 三 年 九 月三十日止期間確認物業發展業務之收益。 For the six months ended 30 September 2023, the Grouprecordeda revenue of approximately HK$784.2 millioncomparedto a revenue of approximately HK$519.6million for the corresponding period of 2022, representinganincrease of revenue of approximately 50.9%,andrecordeda profit of approximately HK$100.3 millioncomparedto a profit of approximately HK$80.4 millionforthe corresponding period of 2022.The increase inprofitwas primarily due to the 1)implementation ofvariousmeasures on cost control and on reduction ofexpenditures; and 2) recognition of revenue of propertydevelopmentbusiness during the period ended 30September 2023. 中 國 唐 商 控 股 有 限 公 司CHINA TANGSHANG HOLDINGS LIMITED 業務回顧 BUSINESS REVIEW PROPERTY SUB-LEASING AND INVESTMENTBUSINESS 物業分租及投資業務 Forthe six months ended 30 September 2023,thisbusiness segment recorded a revenue of approximatelyHK$20.7 million compared to a revenue of approximatelyHK$28.3million for the corresponding period in 2022,representinga decrease of revenue of about 26.9%,and recorded a loss of approximately HK$24.4 million ascompared to a profit of approximately HK$1.0 million forthe corresponding period of 2022. The shift from profitto loss was mainly due to the decrease of fair value oninvestment properties. 截 至 二 零 二 三 年 九 月 三 十 日 止 六 個 月，本業 務 分 類 錄 得 收 益 約20,700,000港 元，較 二零二二年同期收益約28,300,000港元減少約26.9%，同 時 錄 得 虧 損 約24,400,000港 元，而二零二二年同期為溢利約1,000,000港元。由盈轉虧主要由於投資物業之公平價值減少所致。 PROPERTY DEVELOPMENT BUSINESS 物業發展業務 截 至 二 零 二 三 年 九 月 三 十 日 止 期 間 ，中 國 之 物 業 發 展 業 務 為 本 集 團 貢 獻 收益 約7 6 3 , 5 0 0 , 0 0 0港 元（ 二 零 二 二 年 ：4 9 1 , 3 0 0 , 0 0 0港 元 ）及 分 類 錄 得 溢 利 約8 7 , 6 0 0 , 0 0 0港 元（ 二 零 二 二 年 ： 溢 利 約113,600,000港元）。分類收益增加乃由於兩項開發項目，即位於中國東莞市謝崗鎮曹樂村之東莞土地的唐商翰林居，以及位於中國廣東省揭陽市普寧市北環大道的普寧唐商中央花園。本集團已收購致榮控股有限公司（一間間接持有項目公司普寧華創文實業開發有限公司70%股權的公司）的全部已發行股本，並於二零二三年三月十日完成非常重大收購事項及關連交易。普寧唐商中央花園已於二零二二年竣工，於二零二三年九月三十日，已交付及確認為收益的已入賬建築面積約為54,407.27平 方 米。已 竣 工 物 業 持 作 出 售，管理層預期部分餘下建築面積將於日後確認。 Duringthe period ended 30 September 2023,theproperty development business in the PRC contributedrevenueof approximately HK$763.5 million(2022:H K $ 4 9 1 . 3m i l l i o n )a n d s e g m e n t r e c o r d e d p r o f i tofapproximately HK$87.6 million(2022:profit ofapproximatelyHK$113.6 million)to the Group.Theincreasein segment revenue was attributable to twod e v e l o p m e n tp r o j e c t s ,n a m e l y T a n g s h a n g H a n l i nMansion*（唐 商 翰 林 居）in Dongguan land situatesatCaole Village,Xiegang Town,Dongguan City,thePRCand Puning Tangshang Zhongyang Garden*（普寧 唐 商 中 央 花 園）in Beihuan Avenue,Puning,Jieyang,Guangdong Province, the PRC. The Group had acquiredthetotal issued share capital of Reach Glory HoldingsLimited,a company is indirectly hold 70%equityinterestin the project company Puning HuachuangwenIndustrialDevelopment Co.,Ltd.,and completed thevery substantial acquisition and connected transaction in10 March 2023. The construction of Puning TangshangZhongyangGarden was completed in 2022,As at 30September2023,there were approximately 54,407.27sq.m.booked GFA delivered and recognised into therevenue.
