On 29 April 2022, Nan Haiissued a promissory note with face value of approximately RMB60,797,769 (the “Note”)to the Company. The Note bears no interest and payable on the second anniversaryfrom the date of the Note, subject to further adjustments (where necessary) asdescribers in the aforesaid announcement.
