TheCompanyconvokedthefirstextraordinarymeetingoftheBoardin2015onFebruary16,2015andthefirstextraordinarygeneralmeetingoftheBoardin2015onMarch4,2015,whichconsideredandapprovedthe“Motiononpromoting andimplementing theurbanrenewal projectfor therenewalunitsofHuafa area atGongmingstreet,Guangmingnewdistrict,Shenzhen”,specifiedthattheCompanyandWuhanZhonghengGroup shallobtainthecorrespondingcompensatoryconsiderationforremovalfromtherespectivelyownedprojectplotsandtherespectively contributed andconstructed above-groundbuildings beforetheland development,it isestimatedthat the compensatory consideration obtained by the Company accounts for 50.5%of the totalconsiderationandWuhanZhonghengGroupaccountsfor49.5%bycalculation. Thesixthextraordinarymeetingoftheboardofdirectorsin2015andthethirdextraordinarygeneralmeetingof2015haveconsideredandadoptedthe“Proposalontheprojectpromotionandimplementationofurbanrenewalandtheprogressofrelatedtransactionsof‘theupdatedunitsatHuafaArea,GongMingStreet,GuangmingNewDistrict,Shenzhen’”,thecompanyhassignedthe“Agreementonthecooperationofurbanrenewalprojectoftheupdatedunits at Huafa Area,Gong Ming Street,Guangming New District,Shenzhen”,“Contract for thecooperativeventureofreconstructionprojectforHuafaIndustrialPark,GongMingStreet,GuangmingNewDistrict”on 26 August 2015,and“Agreement on housing acquisition and removal compensation andresettlement”withWuhanWuhanZhonghengGroup,ShenzhenVankeRealEstateCo.,Ltd.(hereinafterreferredtoas“ShenzhenVanke”),andShenzhenVankeGuangmingRealEstateDevelopmentCo.,Ltd.(hereinafterreferredtoas“VankeGuangming”). On12September2016,ShenzhenVankeappliedforarbitrationinrespectof“AgreementonthecooperationofurbanrenewalprojectoftheupdatedunitsatHuafaArea,GongMingStreet,GuangmingNewDistrict,Shenzhen”againsttheCompanyandWuhanZhonghengGroup.ShenzhenCourtofInternationalArbitration(SCIA)hasgivenarulinginAugust2017.OnAugust29,2018,thecourtacceptedthecompulsoryexecutionapplicationofShenzhenVanke.InOctober2019,asanumberofoutsidersfiledan“executionobjection”andappliedfor“noexecution”toShenzhenIntermediatePeople’sCourt,theShenzhenIntermediatePeople’sCourtruledtoterminatetheenforcementprocedureonMarch20,2020.Ifthe“executionobjection”and“noexecution”proposedbyoutsidersarerejectedaccordingtolaw,ShenzhenVankemaycontinuetoapplytotheShenzhenIntermediatePeople’sCourttoresumeexecution.
