Box 1586,Gradenia Court, Camana Bay,Grand Cayman, KY1-1100Cayman Islands 香港夏愨道16號遠東金融中心17樓 HONG KONG BRANCH REGISTRAR Tricor Standard Limited17th Floor,Far East Finance Centre,No. 16 Harcourt Road, Hong Kong MANAGEMENT DISCUSSION AND ANALYSIS 管理層討論與分析 BUSINESS REVIEW For the year ended 31 March 2024, UBA Investments Limited and itssubsidiaries(the“Group”)recorded a loss of approximately HK$7.4million (2023: HK$14.4 million) made up of realised gain and unrealisedloss of HK$0.14 million and HK$5.9 million respectively in relation to thelisted securities (2023: realised and unrealised loss of HK$0.55 millionandHK$11.9 million respectively),and unrealised loss of HK$1.95million in relation to the unlisted equity investment (2023: unrealised lossof HK$0.9 million). The loss per share was HK0.58 cents (2023: HK1.13cents). Gross proceeds from disposal of trading securities significantlydecreased 86% from HK$20.9 million to HK$2.9 million as the Groupreduced the investment proportion on trading listed securities undertheprevalent uncertainty of the macroeconomic environment whichwas mainly affected by interest rate hike in the U.S. during the year.It was also in line with the decreased securities market turnover (Mainboard and Gem listed in Hong Kong) of approximately 20% during thesame period. Thereafter, we can minimise any potential loss generatedin the highly volatile stock markets, as the Group needs to be prudentand keeps those high yield and blue chip listed securities in order togenerate dividend income for operations and sufficient fund to meetany investment opportunities. As at 31 March 2024, the net asset valuedecreased by 8.2% from HK$90.1 million to HK$82.7 million, in line withthe decrement of 19% of the HSI during this year. 開 明 投 資 有 限 公 司 及 其 附 屬 公 司（「本 集 團」）截至 二 零 二 四 年 三 月 三 十 一 日 年 度 止，本 集 團 股東 應 佔 虧 損 約 為7,400,000港 元（二 零 二 三 年：約 為14,400,000港 元），其 中 關 於 按 上 市 證 券的 變 現 收 益 及 未 變 現 虧 損 分 別 約 為140,000港元 及5,900,000港 元（二 零 二 三 年：變 現 及 未 變現 虧 損 分 別 約 為550,000港 元 及11,900,000港元），而關於非上市股本投資的未變現虧損約為1,950,000港 元（二 零 二 三 年：未 變 現 虧 損 約 為900,000）。每 股 虧 損 為0.58港 仙（二 零 二 三 年：1.13港仙）。出售交易證券所得款項總額由去年同 期 約20,900,000港 元 下 調86%至 約2,900,000港元，主要因為受美國加息影響的宏觀經濟環境不明朗情況下，本集團因為不確定性經濟環境而減少交易上市證券的投資意願。這也與同期證券市場成交量（香港上市主板和創業板）約20%的下降相一致。而且為了最大程度地減少受高波動性 股 票 市 場 產 生 的 潛 在 損 失，本 集 團 須 謹 慎 行事，並保留更多的高息和藍籌上市證券，以便產生 足 夠 的 股 息 收 入 作 為 營 運 用 途 並 為 未 來 的 投資 機 會 提 供 足 夠 的 資 金。截 至 二 零 二 四 年 三 月三 十 一 日，淨 資 產 比 去 年 約90,100,00港 元 下 跌約8.2%
