CHAIRMAN’S STATEMENT主席報告書 尊敬的各位股東、投資人、客戶及員工： Dear shareholders, investors, clients and colleagues, 今 年 的 報 告 是 我 的 第 七 份 主 席 報 告，將 以 極簡 的 方 式 向 大 家 匯 報，主 要 原 因 是 宏 觀 方 面複 雜 難 懂，中 觀 層 面 的 企 業 戰 略 層 面 幾 年 前業 已 制 定，並 持 續 優 化，始 終 堅 持，不 需 要 再重 複 報 告。具 體 經 營 上，也 要 欣 喜 地 告 訴 大家，公 司 經 營 處 在 最 好 的 時 期，業 務 發 展 迅速，從去年4季度至今，我與團隊夜以繼日、極度 繁 忙，所 以 決 定 將 有 效 的 時 間 全 部 用 於 為大家創造更多的價值上。 Asthis is my seventh report as the Chairman of the board(“Board”) of directors (“Directors”) of Shoucheng HoldingsLimited(the“Company”),I present it in a highly concisemanner. The main reason is that the macroeconomic contextiscomplex and arcane,our corporate strategy formulatedseveral years ago at the mesoscopic level has been subject tocontinuous refinement and steadfast implementation, thereforeitis dispensed with repeating the elaboration.In terms ofoperations, I am delighted to share with you that the corporateoperationsremain in an optimal phase,marked by soaringbusiness growth. Since the fourth quarter of the previous year,my team and I have been working around the clock, aiming toavail ourselves of all effective time slots to create greater valuefor all of you. 首 先，經 營 結 果 雖 有 遺 憾，但 主 業 利 潤 良 好。2023年，全年報表收入8.83億港元，歸母淨利潤4.04億 港 元。相 較2022年 有 相 當 幅 度 的 下降，報 表 利 潤 下 降 的 主 要 原 因 在 於 境 內 戰 略投 資 的 幾 支REITs市 場 交 易 價 格 大 幅 回 撤 所 導致。2024年2月8日，中 國 證 監 會 發 佈 了《監 管規則適用指引-會計類第4號 》。如果按此進行調 整 的 話，2023年 歸 母 淨 利 潤 應 為7.32億 港元，與2022年同口徑持平。若剔除市場波動和首 鋼 資 源 股 息 收 入 貢 獻 的 影 響，主 業 利 潤 與2022年同口徑比較，實現了20%以上的增長。為此，經公司董事會審議決定，一方面將2023年 度 的 全 部 利 潤 向 股 東 進 行 分 配，繼 續 回 饋廣 大 給 予 公 司 信 任 支 持 並 長 期 持 有 公 司 股 票的投資人。另一方面經公司管理層認可，全體高 管 今 年 不 領 取 年 度 獎 金，把 公 司 獎 金 額 度全部面向中基層員工進行分配發放。 Althoughthere are certain regrets in the overall operationsperformance,the core business profit remains sound.TheGrouprecorded revenue of HK$883 million and the profitattributable to owners of the Company of HK$404 million in2023.
